Welcome to MeguriBrew LLC (“MeguriBrew”, “we”, “our”, or “us”). These Terms of Use (“Terms”) govern your access to and use of the MeguriBrew mobile application and website (collectively, the “Platform”). By using the Platform, you agree to comply with these Terms. If you do not agree, do not use the Platform.

2. Platform Description
MeguriBrew is a digital marketplace and mobile application that allows users to purchase drinks (primarily coffee) in participating cafés across Japan for other people, either as personal gifts or as “suspended coffees” available to strangers.
The Platform connects two types of users:

1. Customers – purchase, send, or claim drinks.
2. Cafés – list drink menus, accept payments, serve drinks, and validate QR codes.

Key Features:

• Customers can pay online via Stripe or onsite in participating cafés.
• Online gifts to friends incur a 10% MeguriBrew delivery fee in addition to the drink price.
• The Platform generates unique QR codes and/or links to redeem drinks.
• Customers can attach and respond to anonymous messages with each drink.
• Cafés scan QR codes to register or serve drinks.
• Cafés must be real businesses and listed on Google Maps.

3. Eligibility
Users must be 16 years or older. By using the Platform, you confirm that you meet this age requirement.
You may not use the Platform if you are prohibited by law in your jurisdiction.

4. Accounts and Login
Users can create accounts via Google SSO or Apple SSO.
Collected information may include: email (required), name (optional), birthday (optional), gender (optional).
No passwords are stored by MeguriBrew.
Users may delete accounts; we perform soft deletion and anonymize data.

5. Payments and Fees
All online payments made through the MeguriBrew App are processed via Stripe. MeguriBrew does not collect or store any bank card information.

Supported payment methods include, but are not limited to, Visa and Mastercard.
All drink prices are listed in Japanese Yen (JPY). When a Customer pays in a different currency, Stripe may automatically convert the payment based on its own rates and policies.

5.1 Types of Online Payments
a) Gift to a Friend (Private Gift) — MeguriBrew 10% Delivery Fee
When a Customer purchases a drink online for a specific recipient (a Friend), MeguriBrew applies a 10% delivery fee on top of the drink price.
This fee is paid solely by the Customer. Cafes are not charged this fee.

b) Gift to a Stranger (Suspended Coffee) — No Delivery Fee
When a Customer purchases a drink online for anyone to claim (a Suspended Coffee), no MeguriBrew delivery fee is charged. The Customer pays only the drink price.

5.2 Stripe Processing and Application Fees (For Cafes)
MeguriBrew uses Stripe’s Direct Charges model. As a result:

1. Stripe deducts its processing fees from the full transaction amount (whether this is:

• drink price only, or
• drink price + 10% delivery fee).

2. After Stripe deducts its processing fees, the remaining funds are split between:

• The Café (net drink price after Stripe deductions and the application fee), and
• MeguriBrew (application fee, when applicable).

Effective Application Fee Amount

• For Friend gifts, MeguriBrew charges a 10% delivery fee, but due to Stripe’s fee deduction occurring first, MeguriBrew effectively receives 8.76% of the drink price.
• For Stranger (Suspended Coffee) transactions, no application fee is charged, and the Café receives the drink price minus Stripe’s processing fees.

MeguriBrew absorbs the difference between 10% and the effective 8.76% due to Stripe’s deductions.
MeguriBrew does not deduct its fee from Cafes’ earnings.

Stripe may change its processing fees at any time. MeguriBrew does not control or assume responsibility for Stripe’s fee amounts or changes. Cafes should review Stripe’s pricing directly.

5.3 Finality of Sales
All drink purchases — whether for a Friend or a Stranger — are final and non-refundable.
MeguriBrew does not issue refunds for any reason, including unclaimed or expired drinks.

5.4 Café Fulfillment Disclaimer
MeguriBrew acts solely as a platform provider.
Cafes are solely responsible for:

• verifying QR codes,
• validating the purchase, and
• fulfilling the drink.

MeguriBrew is not liable for any Café’s failure to honor, prepare, or provide a purchased drink.

6. Prohibited Activities
You agree not to:

1. Use the Platform to advertise or sell unrelated goods or services.
2. Sell or transfer your account/profile.
3. Generate fraudulent or false drink gifts or claims.
4. Abuse the “suspended coffee” feature for hoarding or resale.
5. Tamper with, duplicate, or reuse QR codes for drinks.
6. Impersonate other users, cafés, or staff.
7. Access accounts or data without authorization.
8. Register fake cafés or provide misleading business information.
9. Send abusive or inappropriate messages via anonymous notes.
10. Manipulate pricing, payment settings, or Stripe accounts.
11. Attempt to bypass the 10% delivery fee.
12. Scrape, decompile, or reverse-engineer the Platform.

Violating these rules may result in immediate account termination.

7. User Content and Messaging
Customers can attach anonymous messages to drinks.
Names, emails, and other personal identifiers are not shared between users.
MeguriBrew reserves the right to remove or moderate inappropriate messages.

8. Café Liability
MeguriBrew is not responsible for cafés’ fulfillment of drinks.
Any issues with drink availability, quality, or service must be addressed directly with the café.
QR codes are only valid if scanned and registered by participating cafés.

9. Copyright and Intellectual Property
MeguriBrew owns all content, trademarks, and software associated with the Platform.

Users may report suspected copyright infringement to: support@meguribrew.com with:

1. Description of the copyrighted work
2. Location of the infringing content
3. Your contact info
4. Statement of good faith belief
5. Statement of accuracy under penalty of perjury

10. Dispute Resolution
You agree to first attempt informal negotiations via info@meguribrew.com.
If unresolved within 30 days, disputes will be resolved by binding arbitration in the USA under Wyoming law.
Arbitration decisions are final and binding.

11. Termination
MeguriBrew may suspend or terminate accounts at its discretion for violations of these Terms or for misuse of the Platform.
Termination does not affect accrued rights or obligations.

12. Marketing and Notifications
By using the Platform, you consent to receive push notifications, emails, and other marketing communications.
You can manage notification preferences in the app settings.

13. Limitation of Liability
MeguriBrew is not responsible for indirect, incidental, or consequential damages arising from Platform use.
We are not liable for cafés’ failure to fulfill orders, drink quality, or any personal disputes between users.
Your use of the Platform is at your own risk.

14. Changes to Terms
MeguriBrew may update these Terms at any time.
Updated Terms take effect upon posting on the Platform.
Continued use of the Platform constitutes acceptance of updated Terms.

15. Governing Law
These Terms are governed by Wyoming, USA law.
Users agree to arbitration and dispute resolution under these laws.
